NOMINATION AND ELECTION OF A STAFF MEMBER TO THE BOARD OF GOVERNORS

NB – Given the Ofsted inspection, the deadline has been extended to Friday 21 October 2022, 12 noon.

The composition of the Board of Governors includes 2 staff members, one to represent Cadbury College.

A vacancy currently exists for a Staff Governor to represent Cadbury College.  I therefore invite you to nominate a member of staff based at Cadbury College to serve on the Board of Governors for a three-year term of office.

The Governance section on the College’s website contains information regarding the Board of Governors, its membership, committee structure, meetings, policies and procedures, including the Nomination, Election and Ballot Procedure for the Appointment of Staff Members.

A nomination slip is attached.  The nomination slip must be completed by the proposer, seconder and the nominee, all of whom must be employed under a contract of employment with the College.  Each nominee must submit, with their nomination slip, an election statement not exceeding 250 words.

The completed slips should then be returned to me by no later than 12 noon on Monday 10 October 2022.

Nominees will be invited to meet with the Chair of Governors and the Principal prior to a staff election taking place in order to assist nominees in being fully aware of the responsibilities of being a Staff Member and the time commitment required.

The Instrument of Government specifies persons who are ineligible for membership of the Board of Governors.  These are detailed on the attached document.  Nominees are required to sign the nomination slip as a declaration that they have read and understood these conditions, and that they are eligible for membership of the Board of Governors.

If more than one nomination is received a ballot will be held.

A role description is attached.  It is important and appropriate to remind staff of the role of Governors.  The Board appoints Governors who have been nominated by staff.  There is no difference between them and any other Governors in terms of their collective responsibility and accountability for the decisions of the Board.  Specifically, such Governors are not appointed as ‘representatives’ of the nominating group or body and this includes Staff Governors.  The Instrument of Government expresses this as follows:

“Every member of the Corporation shall act in the best interests of the Corporation and accordingly shall not be bound in speaking and voting by mandates given to him/her by any other body or person.”

 

Each one of the Governors brings to the Board a particular area of knowledge or expertise and this applies equally to Staff Governors who are able to contribute from their experience of working at the College.  The above should be borne in mind when selecting a new Staff Governor.
